The new Swiss company law has been in force since January 01, 2023. The new law has introduced major changes.

Certain new features require an amendment of the articles of association to fully benefit from them, such as virtual shareholders' meeting, shareholders' meeting abroad, the capital band within the framework of which the board of directors will be entitled to increase or decrease the share capital, and share capital in a foreign currency.

In addition, the new law has amended the provisions on over-indebtedness and liquidity of the company. Failure by the board of directors to comply with its duties to act with regard to impending insolvency or loss of capital may result in them being liable. Board members should familiarize themselves with these new rules.

In this Luncheon, we will present you key changes of the company law.

Legal experts from the SCCC Legal Chapter will look at these changes through the lens of an investor and board member from China and Switzerland.
